Terms of Service

Terms governing access to the Aion Labs platform and services.

These Terms apply to your use of the Aion Labs LLM API, Email Agent services, browser-based chat interface, and all associated platform surfaces. Please read them carefully before using the platform.

1. Introduction and Acceptance

Welcome to Aion Labs. These Terms of Service ("Terms") constitute a legally binding agreement between you and Deep Forge sp. z o.o. (NIP: 1231533694), the company operating Aion Labs ("Aion Labs," "we," "us," or "our"), governing your access to and use of the Aion Labs platform, including our website, LLM API, Email Agent services, browser-based chat interface, and any associated services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines applicable to specific features. If you do not agree to these Terms, you must not access or use the Platform.

IMPORTANT: These Terms contain provisions regarding limitation of liability, disclaimers, and dispute resolution that affect your legal rights. Please read them carefully.

2. Definitions

In these Terms of Service, the following capitalized terms have the following meanings:

  • "Platform" refers to the Aion Labs website, LLM API, Email Agent services, and browser-based chat interface, including all webpages, content, services, features, and functionality.
  • "Content" means any and all text, images, audio, video, scripts, code, software, databases, and any other form of information that appears on or forms part of the Platform.
  • "Services" refer to all services, products, tools, and features provided or made available by Aion Labs through the Platform, including the LLM API, Email Agents, and browser chat.
  • "LLM API" means the OpenAI-compatible chat and completions API provided by Aion Labs, routing requests to upstream AI model providers.
  • "Email Agents" means the AI-powered email agent service that processes and responds to inbound emails on your behalf using AI models.
  • "User Content" means any content you create, submit, post, or transmit through the Platform, including messages, prompts, agent instructions, and other materials.
  • "Generated Content" means text, code, images, and other media dynamically created by AI systems based on your inputs and interactions.
  • "Credits" means prepaid balance units purchased on the Platform that are consumed as you use the Services.
  • The terms "we," "us," or "our" refer to Deep Forge sp. z o.o. (NIP: 1231533694), the company operating the Platform and providing the Services.

3. Eligibility

The Platform is intended solely for users who are at least 18 years of age. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you are strictly prohibited from accessing or using the Platform.

We reserve the right to terminate accounts and deny access to anyone we reasonably believe to be under 18. Misrepresenting your age constitutes a material breach of these Terms and may result in immediate account termination.

4. Account Registration and Security

4.1 Account Creation

To access the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials or API keys.

4.3 Account Restrictions

You may not transfer, sell, or share your account. You may not create multiple accounts for abusive purposes, including circumventing restrictions or bans. One account per person is the default. If you represent an organization or company and require a shared account used by multiple users, please contact us at [email protected] — organizational accounts require our written consent.

5. License and Acceptable Use

5.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform, including in commercial contexts such as building and operating products and services using the Aion Labs API.

5.2 Restrictions

This license does not include the right to:

  • Sublicense, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Platform
  • Resell or commercially exploit the Platform itself or resell raw API access as a standalone product without our prior written consent
  • Use data mining, robots, or similar data gathering and extraction tools against Platform infrastructure
  • Bypass any measures we use to prevent or restrict access to the Platform or Services
  • Take any action that imposes an unreasonable or disproportionately large load on our infrastructure
  • Interfere with or disrupt the proper working of the Platform, Services, or Content
  • Remove any copyright or other proprietary notices from the Platform

This license terminates automatically if you violate any of these restrictions and may be terminated by us at any time. We reserve the right to modify, suspend, or discontinue the Platform (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

6. User Content

6.1 Your Content

You retain ownership of content you submit to the Platform. By submitting User Content, you grant Aion Labs a worldwide, non-exclusive, royalty-free license to process and use such content solely as necessary to provide the Services, including forwarding prompts and instructions to upstream AI providers as described in our Privacy Policy.

6.2 Content Responsibility

You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third-party rights or applicable laws.

7. Prohibited Content and Conduct

You agree not to use the Platform to submit, process, or transmit any content that:

  • Depicts, promotes, or facilitates the sexualization of minors in any form, including fictional depictions
  • Promotes or constitutes human trafficking
  • Is illegal or advocates for illegal activity
  • Promotes terrorism, violent extremism, or political violence
  • Encourages, depicts, or instructs on self-harm or suicide
  • Contains hate speech, promotes discrimination, or incites violence against individuals or groups
  • Harasses, bullies, intimidates, or threatens any person
  • Discloses personal or private information about others without consent ("doxxing")
  • Infringes any intellectual property or proprietary rights
  • Contains malware, harmful code, or deceptive content
  • Attempts to circumvent security features or moderation controls

You further agree not to: (i) use automated systems or scripts to access the Platform beyond authorized API usage patterns; (ii) attempt to gain unauthorized access to any accounts, systems, or networks; (iii) interfere with or disrupt the Platform's operation; (iv) harvest user data without consent; or (v) use the Platform to generate content or operate services that themselves violate applicable law.

8. AI-Generated Content and Services

The Platform routes your requests to upstream AI model providers and uses AI to process and respond to emails through the Email Agents service. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or unexpected outputs
  • We do not guarantee the accuracy, quality, or appropriateness of AI-generated content
  • You are responsible for reviewing and appropriately using any AI-generated content
  • AI-generated content should not be relied upon as a substitute for professional legal, medical, financial, or other qualified advice
  • Your inputs and interactions will be processed by upstream AI service providers as described in our Privacy Policy
  • For Email Agents, you are responsible for reviewing agent behavior and outputs, and for any communications sent by agents acting on your behalf

9. Billing, Subscriptions, and Credits

9.1 Subscription Services

Aion Labs offers subscription-based services that provide access to the Platform and its features. By subscribing, you agree to pay all applicable fees according to the billing terms presented at the time of purchase.

9.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis according to the billing cycle you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for recurring fees until you cancel. If payment is not received on the renewal date, we reserve the right to suspend or terminate your access without further notice.

9.3 Credits

By purchasing Credits, you agree to pay the associated cost using the payment methods available on the Platform. Your credit balance is consumed as you use the Services. Credits have no real-world monetary value outside the Platform and cannot be exchanged for cash. Purchased Credits remain valid indefinitely but may be rendered inactive or forfeited if account violations occur or, at our discretion, after a period of prolonged inactivity.

9.4 Price Changes

We may adjust pricing and credit rates at any time. For existing subscribers, price changes will take effect at the start of your next billing cycle following notice of the change. For credit purchasers, new rates apply to future purchases only. Continued use of the Services after a price change constitutes acceptance of the new pricing.

9.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew. No partial refunds will be provided for unused portions of a billing period.

10. Refund Policy

10.1 General Policy

Fees and credit purchases are generally non-refundable except as expressly set forth in these Terms or as required by applicable law. At our sole discretion, we may grant a refund in exceptional circumstances on a case-by-case basis. The granting of a refund in one instance does not guarantee approval of future refund requests.

10.2 EU Consumer Rights

If you are a consumer in the European Union, you have a statutory right to withdraw from the purchase of digital content within 14 days without giving any reason. However, by initiating a purchase, you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once the digital content or service has been delivered or performance has begun.

11. Intellectual Property

11.1 Aion Labs Property

The Platform and its original content, features, and functionality are owned by Aion Labs / Deep Forge sp. z o.o. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

11.2 Copyright Complaints

We respect intellectual property rights. If you believe your copyrighted work has been infringed on the Platform, please contact us at [email protected] with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; and (e) a statement under penalty of perjury that your notice is accurate.

12. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Aion Labs disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any content on the Platform, including AI-generated content. We are not responsible for User Content or the conduct of any users.

We will assume no liability or responsibility for any: (1) errors, mistakes, or inaccuracies of the Platform, Content, or Services; (2) personal injury or property damage resulting from your access to and use of the Platform; (3) unauthorized access to our servers and/or any personal information stored therein; (4) interruption or cessation of transmission to or from the Services; (5) bugs, viruses, or the like transmitted through the Services by any third party; or (6) errors or omissions in any Content or Services.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law, Aion Labs and its officers, directors, employees, agents, and affiliates (including Deep Forge sp. z o.o.) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from or related to your use of or inability to use the Platform.

In no event shall Aion Labs' total liability exceed the greater of (a) the amounts you have paid to Aion Labs in the 12 months preceding the claim, or (b) €50 EUR.

Some jurisdictions do not allow limitations on incidental or consequential damages, so the above limitations may not apply to you. If any part of this limitations section is found to be unenforceable, the remaining parts will still be in effect.

14. Dispute Resolution and Governing Law

14.1 Informal Resolution

Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected] with a written description of the dispute. We will attempt to respond and work toward resolution within 30 days. If the dispute is not resolved within that period, either party may proceed to formal resolution.

14.2 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland. You agree to submit to the jurisdiction of the courts located in the Republic of Poland for the resolution of any disputes arising out of or in connection with these Terms or your use of the Services.

15. Privacy Policy

By using our Platform and Services, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy, which is incorporated herein by reference.

16. Termination

16.1 Termination by You

You may terminate your account at any time by following the account deletion process in your account settings or by contacting us at [email protected].

16.2 Termination by Aion Labs

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, non-payment, or extended periods of inactivity.

16.3 Effect of Termination

Upon termination, your right to use the Platform will immediately cease. We may delete your account and associated data. Termination does not relieve you of obligations incurred prior to termination. Sections regarding User Content licenses, Intellectual Property, Disclaimers, Limitation of Liability, and Dispute Resolution survive termination.

17. General Provisions

17.1 Modifications

We reserve the right to modify these Terms at any time. For material changes, we will provide notice before the changes take effect via email or prominent Platform notification. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17.3 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Aion Labs concerning your use of the Platform.

17.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
